In short
Information on this website is general and not legal, tax or financial advice. When you engage us, we act on your written instructions, you provide accurate and complete information, fees are agreed in advance and payable before filing, and we may decline or terminate an engagement where compliance requirements are not met. Our liability is limited to the fees paid for the service concerned. Hong Kong law applies.
Part A — Website terms of use
1. Acceptance
This website (icorp.hk) is operated by ICORP HK LIMITED ("iCorp.HK", "we", "us"). By accessing or using the website you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the website.
2. Nature of information
The content of this website — including descriptions of services, indicative fees, timelines, tax rates, government fees and answers to frequently asked questions — is provided for general information only. It does not constitute legal, tax, accounting, immigration or investment advice, and it does not create a client relationship. Laws, government fees and bank requirements change frequently; while we try to keep the website accurate, we do not warrant that any information is complete or current at the time you read it. Always obtain advice specific to your circumstances before acting.
3. Indicative fees
Fees shown on this website (for example "from US$1,350") are indicative starting prices for standard cases, exclusive of optional services and of any third-party costs not expressly stated as included. A binding fee is the one stated in our written quotation or engagement letter. Government fees are set by the Hong Kong Government and may change without notice.
4. Intellectual property
All text, graphics, logos, page layouts and software on this website are owned by or licensed to ICORP HK LIMITED and protected by Hong Kong and international intellectual property laws. You may view, download and print pages for your personal, non-commercial use. Any other reproduction, distribution or modification requires our prior written consent. "iCorp" and the iCorp.HK logo are trade marks of ICORP HK LIMITED.
5. Acceptable use
You agree not to use the website in any way that is unlawful, that could damage or impair it, or that attempts to gain unauthorised access to our systems or data. You must not submit false information through our forms, use automated tools to scrape content, or use the website to send unsolicited communications.
6. Third-party links and content
Links to third-party websites (banks, government departments, maps and others) are provided for convenience. We do not control those websites and accept no responsibility for their content, accuracy or privacy practices. References to banks, fintech providers and institutions do not imply endorsement by them of our services, nor a guarantee that they will accept any application.
7. Website disclaimer
The website is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we exclude all liability for any loss or damage arising from your use of, or reliance on, the website or its content, including interruptions, errors, viruses or loss of data.
Part B — General terms of engagement
8. Application
These General Terms apply to all services provided by ICORP HK LIMITED, including company formation, shelf company transfers, company secretarial and registered office services, bank account introduction, accounting, audit coordination, tax filing and advisory, immigration, intellectual property, nominee and other business support services (the "Services"). They form part of every engagement letter or quotation we issue. In case of conflict, the engagement letter prevails.
9. Engagement and instructions
- An engagement begins when you accept our quotation or engagement letter in writing (including by email) and we have completed our client acceptance procedures.
- We act only on instructions given in writing by you or by persons you have authorised in writing. We may rely on instructions that reasonably appear to come from an authorised person.
- We may decline any instruction that we consider unlawful, contrary to professional or regulatory obligations, or inconsistent with our risk policies, without being obliged to give reasons.
- The scope of Services is as described in the engagement letter. Additional work is subject to a separate quotation.
10. Client due diligence and compliance
- As a licensed Trust or Company Service Provider we are required under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615) to identify and verify our clients, their directors, shareholders and beneficial owners, to understand the purpose and nature of the business, and to monitor the relationship on an ongoing basis.
- You agree to provide all information and documents we request for this purpose promptly, accurately and completely, and to notify us within 15 days of any change in directors, shareholders, beneficial owners, business activities, addresses or contact details.
- We may suspend or terminate the Services, and may be legally required to make reports to the authorities without informing you, if due diligence cannot be completed or if we have grounds for suspicion.
- We do not provide Services to persons or entities subject to sanctions, or for activities that are illegal in Hong Kong or in the jurisdiction where they take place.
11. Your responsibilities
- You are responsible for the accuracy and completeness of all information provided to us and for the lawfulness of your business activities.
- Directors of a company remain legally responsible for its compliance; our role as company secretary or accountant does not transfer that responsibility.
- You must respond to our requests for documents, signatures and approvals in good time to allow statutory deadlines to be met. We are not liable for penalties resulting from late or incomplete responses.
- You must keep us informed of your current email address; notices sent to the last address you provided are deemed received.
12. Fees and payment
- Fees are as stated in our quotation. Unless stated otherwise they are in United States dollars or Hong Kong dollars, exclusive of out-of-pocket expenses (courier, legalisation, translation, third-party and government fees not expressly included).
- Incorporation, shelf company, visa, trademark and similar application fees are payable in full before we file. Annual fees (company secretary, registered office, accounting packages) are payable in advance at the start of each service year.
- Invoices are due within 14 days. We may suspend Services, withhold documents (subject to law) and charge interest at 1% per month on overdue amounts.
- Fees paid are non-refundable once work has commenced or filings have been made, except as stated in section 15.
- We may revise annual fees on renewal with at least 30 days' notice.
13. Timelines and third parties
Timelines quoted (for example "5–7 business days") are estimates based on normal processing by the relevant authority and on your timely cooperation. They are not guaranteed. Government departments, banks, courts and other third parties act independently of us; we are not responsible for their delays, requirements or decisions.
14. Bank account services
Our bank account services consist of pre-screening, selection, preparation of application materials, introductions and coaching. The decision to open an account rests solely with the bank or payment institution. We do not guarantee that any account will be opened, nor the time taken. Fees for banking services are payable for the work performed regardless of the outcome, unless our engagement letter states a success-based component.
15. Company formation and shelf companies
- Company names are subject to approval by the Companies Registry; we will propose alternatives if a name is rejected.
- If an incorporation cannot proceed because our client acceptance procedures are not satisfied, we refund fees paid less the costs of work already performed and third-party costs incurred.
- Shelf companies are sold with a written warranty that the company has not traded, has no liabilities and has no bank account. Our liability under that warranty is limited as set out in section 19.
16. Company secretary and registered office
- Where we act as company secretary and/or provide the registered office, the appointment is for a minimum of 12 months and renews annually unless terminated with 30 days' written notice before the renewal date.
- The registered office may be used only for official correspondence and, where agreed, business correspondence. It may not be used for storage of goods, as a place of business for licensing purposes, or in a misleading manner.
- On termination, you must appoint a replacement company secretary and registered office within the statutory period. We may file our resignation and a change of registered office with the Companies Registry if you fail to do so, and may use our own address change notice to avoid continued statutory exposure.
- We will file documents only after receiving your approval and any fees due. Statutory penalties arising from your late approval or payment are your responsibility.
17. Accounting, audit and tax
- Accounting and tax services are based on records and information provided by you. We do not audit or verify them unless separately engaged to do so.
- Statutory audits are performed by independent Hong Kong CPA (Practising) firms under their own engagement letter and terms. We coordinate but do not issue audit opinions.
- Tax positions, including offshore profits claims, are subject to acceptance by the Inland Revenue Department. We do not guarantee any tax outcome. Tax, interest and penalties assessed remain your liability.
- You must retain source documents for at least 7 years as required by law.
18. Nominee services
Nominee director and shareholder services are provided under a separate nominee agreement, declaration of trust and indemnity. The nominee acts only on your lawful written instructions, retains the right to refuse any instruction, and may resign at any time. A refundable security deposit is required. You indemnify the nominee against all liabilities arising from the company's activities.
19. Liability
- We will perform the Services with reasonable skill and care.
- To the extent permitted by law, our total aggregate liability to you in connection with any engagement — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the fees paid by you for the specific Service giving rise to the claim in the 12 months preceding the claim.
- We are not liable for indirect or consequential loss, loss of profit, business, opportunity or goodwill, nor for loss caused by inaccurate or incomplete information provided by you, by your delay, or by the acts or decisions of third parties including authorities and banks.
- Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
- Any claim must be notified to us in writing within 12 months of the event giving rise to it.
20. Confidentiality and data protection
We keep your information confidential and use it only to provide the Services, except where disclosure is required by law, regulation, court order or a competent authority, or is necessary to deliver a Service you have instructed (for example to banks, auditors or government departments). Personal data is handled in accordance with our Privacy Policy.
21. Communications
We communicate primarily by email and may use electronic signatures and secure portals. You accept the risks inherent in electronic communication, including interception and non-delivery, unless caused by our negligence. We are not responsible for payments made to bank accounts other than those stated on our official invoices — please verify any change of bank details by telephone.
22. Termination
- Either party may terminate an ongoing engagement with 30 days' written notice.
- We may terminate immediately if you breach these terms, fail to pay fees, fail to provide due diligence information, or if continuing would breach our legal or regulatory obligations.
- On termination, fees for work performed and costs incurred become immediately payable. Annual fees paid in advance are not refunded for the unexpired period unless we terminate without cause.
- We will hand over statutory records to the newly appointed service provider once all fees have been settled.
23. General
- Entire agreement. These terms, the engagement letter and the Privacy Policy constitute the entire agreement and supersede prior communications.
- Variation. We may update these terms by publishing a revised version on this website; the revised version applies to new engagements and to renewals after the date of publication.
- Severability. If any provision is held invalid, the remainder continues in force.
- Assignment. You may not assign your rights without our consent. We may subcontract parts of the Services to vetted partners while remaining responsible for their performance.
- Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, including government action, epidemics, system outages and natural disasters.
- Third parties. No person other than the parties has rights under the Contracts (Rights of Third Parties) Ordinance (Cap. 623).
24. Governing law and disputes
These terms and any engagement are governed by the laws of the Hong Kong Special Administrative Region. The parties will first attempt to resolve any dispute amicably. Failing resolution within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong, unless the parties agree in writing to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC).
